This subscription agreement (the Agreement) applies to organisations on a paid TenderLock plan (the Customer). It supplements the Terms and conditions and takes precedence on the matters below.
1. Subscription
We grant the Customer a non-exclusive, non-transferable right to use the Service for its own procurement during the subscription term, within the limits of its plan as shown in the Pricing and credits schedule or an Enterprise order.
2. Term and renewal
- Monthly plans: renew automatically each month until cancelled. We email a reminder 3 days before each renewal.
- Annual plans: renew automatically each year until cancelled. We email a reminder 7 days before each renewal.
- Cancellation: takes effect at the end of the current period. Fees already paid are not refunded except where required by law.
3. Changing plans
- Upgrades: take effect immediately. You are charged the new plan price, less the unused value of your current plan, and a new billing period starts.
- Downgrades: take effect immediately or from the next renewal, as shown at checkout. Any unused value is held as account credit and applied to future invoices. It is not refunded as cash.
4. Fees and credits
- Fees: as confirmed on the checkout page before you subscribe. Prices exclude VAT. UK VAT at the current rate (20%) is added for customers in the United Kingdom. For customers outside the UK the supply is outside the scope of UK VAT. Our VAT registration number is GB 513 372 515.
- Price changes: we will give at least 30 days' notice before a price change applies to an existing subscription.
- Included credits: renew each billing period and do not roll over.
- Top-ups: purchased credits are non-refundable and remain valid for 12 months, even if the subscription ends.
- Auto top-up: where enabled by the account owner, we charge the saved card for the selected pack when the balance falls below the chosen threshold.
5. Payment
We charge the card saved on the account at the start of each billing period, and Stripe issues the invoice. You authorise us to charge that card for renewals, upgrades and any auto top-up you enable.
- If a payment fails: we email the account owner the same day, and retry the card with reminders on days 3, 7 and 12.
- Final retry: if payment is still outstanding on day 14, the plan ends and the organisation moves to the Free plan. Records that the Free plan no longer covers become read-only.
- Your records: tender records are never deleted because of non-payment. You can upgrade again at any time.
6. Data protection
We process personal data in Customer Content as a processor on the Customer's behalf under our Data processing terms.
7. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purposes of this Agreement.
8. Liability
Each party's total liability arising out of or in connection with this Agreement in any 12-month period is limited to the fees paid or payable by the Customer in the 12 months before the event giving rise to the claim. Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. Nothing limits liability for death or personal injury caused by negligence, for fraud, for the Customer's obligation to pay fees, or for any other liability that cannot be limited by law.
9. Enterprise
Enterprise plans and add-on modules are governed by an order form that may set different prices, limits, service levels, support and terms. The order form prevails over this Agreement.
10. Governing law
This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
